I. Introduction

    These Terms of Use create a legal agreement between you and Inspiral IP PLLC (“Inspiral IP”) that govern: (A) the information of Inspiral IP (the “Information”) made available through this website; (B) the nature of the relationship between You and Inspiral IP; (C) certain other matters of professional responsibility; (D) Inspiral IP’s use of your information gathered through this website; and (E) your use of this website, related systems, and the Information (collectively, the “Inspiral IP Site”). By accessing any portion of the Inspiral IP Site, you are indicating that you have read, understood, and assent to be bound by these Terms of Use. These Terms of Use may be amended from time to time by Inspiral IP pursuant to the terms herein. If you do not agree to these Terms of Use, you are not permitted to use the Inspiral IP Site.

      The Information is made available for general informational purposes only, and is not intended to constitute specific legal advice or to be a substitute for advice from qualified counsel. Without limiting the foregoing, the Information may not reflect recent developments in the law, may not be complete, and may not be accurate in or applicable to your jurisdiction.         II. No Attorney-Client Relationship

        Inspiral IP enters into attorney-client relationships only in accordance with certain procedures, which include executing an engagement letter and addressing professional responsibility conflicts as required by the jurisdictions where Inspiral IP practices. You agree that your access of the Inspiral IP Site, receipt of the Information, transmission of electronic mail to addresses on the Inspiral IP Site, or booking a consultation does not create an attorney-client relationship between you and Inspiral IP.

        III. Other Matters

        1. Sensitive Communications: You agree that any emails or other communication methods sent by you to Inspiral IP will not be treated as confidential or invoke an attorney-client privilege; provided, however, that if you are an existing client of Inspiral IP and you send an email or other communication to Inspiral IP about a matter in which Inspiral IP already represents you, your emails or other communications may be entitled to be treated as confidential or privileged. Notwithstanding the foregoing, you acknowledge that email or other communications sent to us, and the internet are generally insecure. Inspiral IP cannot guarantee the confidentiality of any email or other communications sent or received.
        2. No Warranty of Results: The Information may contain descriptions of matters in which Inspiral IP successfully represented its clients. The results of these matters were dependent on their specific circumstances, and are in no way intended to be predictive of future results, even in similar circumstances, or offer any type of guarantee or assurance of outcome. Information pertaining to Inspiral IP’s clients may not reflect the opinions such clients.
        3. Prohibited Uses: You will not use the Inspiral IP Site in violation of any applicable law. Without limiting the foregoing, you will not use the Inspiral IP Site in connection with: (1) the infringement of intellectual property rights including those of Inspiral IP; (2) the unauthorized transmission of unsolicited commercial email; (3) the transmission of defamatory materials; or (4) fraud. You will not violate, attempt to violate, or knowingly facilitate the violation of the security (including access control or authentication systems) or integrity of the Inspiral IP Site.
        4. Email: Subject to the Section above, you may send email to the email addresses on the Inspiral IP Site for to: (1) request alerts or other news notification services; (2) submit voluntary survey responses; (3) respond to or make inquiries regarding Inspiral IP events; (4) request information regarding Inspiral IP’s services; and (5) inquire about employment opportunities. You agree to cease communications to Inspiral IP via email or other methods upon Inspiral IP’s request.
        5. No Warranties: The Inspiral IP Site is provided to you “as is”. Your access and use of the Inspiral IP Site is at your own risk. To the extent permitted by law and rules of professional responsibility in the applicable jurisdiction, Inspiral IP disclaims all conditions, representations and warranties, express, implied, statutory or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, accuracy of informational content, system integration, non-infringement of third party rights, quiet enjoyment, and uninterrupted or error free operation.
        6. Disclaimer of Liability: To the extent permitted by the law and rules of professional responsibility in the applicable jurisdiction, Inspiral IP disclaims liability for any lost profits or income, lost business, or lost data, or for any consequential, indirect, exemplary, punitive, special, or incidental damages arising from or relating to the Inspiral IP Site.
        7. Third Party Information: Inspiral IP may hyperlink to or otherwise make third party information available on the Inspiral IP Site. This is done solely for convenience. Inspiral IP does not endorse or approve of any such third party information or third parties.
        8. Miscellaneous: You agree that any dispute arising out of or in connection with the Inspiral IP Site or these Terms of Use will be governed by the laws of the State of New York without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction. You also agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Brooklyn, NY. In the event that you gain access to information not intended to be accessed by you, you agree that you will immediately notify Inspiral IP and lawfully destroy all copies of such information in your possession.
